Subscription Terms
Plans, seats, billing, trials, and your data, followed by the Credit Policy: what credits cost, what they buy, and when they reset.
Effective
These Subscription Terms ("Subscription Terms") govern paid subscriptions, free trials, and access through the Startup Program provided by Zero Technologies Oy (3451848-1, PO Box 1188, FI-00101 Helsinki, Finland) ("Zero," "we," or "us"). The Service is offered for business use. "Customer" means the business identified during registration or purchase. The person accepting these Subscription Terms represents that they have authority to bind the Customer.
The Customer accepts these Subscription Terms during registration, when enrolling in a trial or the Startup Program, or when purchasing through the in-app billing page, Stripe Checkout, or an Order, after being presented with these Subscription Terms. Payment obligations arise only for paid services the Customer expressly orders.
These Subscription Terms supplement the Zero Technologies Terms of Service.
"Order" means the commercial terms accepted by the Customer at online checkout or in a separately executed order form. The Order identifies the plan, features, seat count, start date, billing period, currency, fees, included credits, recurring add-ons, discounts and their duration, and the renewal amount or an objectively determinable calculation of that amount, including any ongoing annual discount. Zero provides an Order confirmation and the accepted terms in a form the Customer can retain.
Mandatory law and applicable mandatory data-transfer clauses prevail. The Data Processing Agreement ("DPA") prevails on personal-data processing. Subject to those protections, a separately negotiated written agreement or executed order form prevails over the online Order; the Order prevails over these Subscription Terms; these Subscription Terms prevail over the Credit Policy and the Terms of Service on the matters they address; and the Credit Policy prevails over the Terms of Service on credit matters. General amendment or termination provisions in the Terms of Service do not bypass the protections in these Subscription Terms. The Privacy Policy describes Zero's processing practices and does not expand its contractual rights to Customer Data.
This version applies to subscriptions purchased, and to trials and Startup Program access for which these Subscription Terms are accepted, on or after its effective date. Publishing these terms does not by itself migrate an existing subscription, including its renewal, seat adjustments, credit rates or previously purchased entitlements. Any migration requires a separately agreed change or a later change validly made under that subscription's existing agreement. A new subscription purchased after an earlier subscription has ended follows the offer accepted for the new purchase.
Services Provided
- Access to the Zero Platform under the selected plan.
- Plan features and included credits as specified in the Order.
- A free trial or Startup Program access, where offered, on the terms below and those presented before acceptance.
Fees
Seat price, seat count, billing period, and any discount and its duration are shown at checkout or agreed in an Order. On Pro, each person authorized to access the workspace requires a paid seat. Pro does not offer view-only seats. Seats may be reassigned to replacement users but may not be shared between simultaneous users. No paid seat is required during an authorized free trial or for access granted under the Startup Program. Scale seat arrangements and pricing are specified in its Order.
Before purchase, Zero displays the amount due, the billing frequency, any annual amount payable upfront, when any temporary discount ends, and the resulting renewal amount or its stated calculation. Expiry of a temporary discount does not authorize an undisclosed renewal charge. Unless an Order states otherwise, a launch discount runs for the first three paid monthly subscription periods or the first twelve-month paid annual term. A free trial or referral extension does not consume that discount period. Offer eligibility, any signup deadline, treatment of later-added seats, and applicability to recurring add-ons or top-ups are disclosed before purchase.
Recurring credit add-ons and one-time top-up credit packs may be purchased where offered, at the prices and quantities shown before purchase. Each recurring add-on's billing frequency, renewal date, and cancellation conditions are shown separately, including where its billing cycle differs from the seat subscription. Credit purchases and automatic recharge or overage arrangements require an authorized billing administrator's express approval of the applicable prices and limits. A one-time top-up does not create a recurring commitment.
Zero may change prices and offers for new subscriptions at any time. Changes to an existing subscription are governed by Plan Changes below.
Credits
Credit allowances, consumption rates, rollover, expiry, consumption order, and trial credits are set out in the Credit Policy, made available before purchase and incorporated into these Subscription Terms. The Order prevails over the Credit Policy in the event of a conflict.
Agent usage is charged per agent action, not per entire agent run. A run may contain multiple billable actions, and each action is charged separately at the applicable rate stated in the Credit Policy. The total credit charge for a run is the sum of its billable actions. Chaining multiple actions within one agent does not combine them into a single billable action.
Usage Limits & Suspension
Zero may pause credit-consuming operations when available credits or an administrator-approved spending limit would be exceeded. Zero may apply reasonable rate, concurrency, import and other technical limits to protect the Service against fraud, attempts to bypass limits, automated loops, or activity that threatens its security or stability. Limits affecting ordinary use are disclosed before the affected use. Zero will not use this provision to impose undisclosed charges or permanently reduce an agreed paid allowance.
Where necessary to address an urgent risk, Zero may pause the affected operations immediately, notify the Customer promptly of the reason and any steps needed to restore access, and restore access when the cause is resolved. Any suspension must be limited in scope and duration to what is reasonably necessary. Suspension does not prevent the Customer from exercising the data-return and statutory switching rights below.
The Customer must ensure that agents and integrations are authorized to access the relevant data and perform the requested actions. The Customer is responsible for reviewing AI outputs and configuring appropriate permissions and usage limits. These responsibilities do not excuse Zero from its own obligations under this agreement or the DPA.
Billing & Payment
Unless an Order specifies a different commencement date, the paid subscription term begins when the first subscription payment is successfully processed. An Order may permit payment by invoice and specify the payment due date.
- Subscription fees are charged automatically to the payment method provided at checkout, on the basis specified in the Order. Annual subscriptions are paid upfront unless otherwise agreed.
- Receipts are issued by Stripe after each payment.
- All fees are exclusive of applicable taxes unless stated otherwise at checkout. Fees are non-refundable except as provided under Termination or Data Return, Switching & Deletion below, required by law, or agreed in the Order.
- Promotion codes, if applicable, are applied at checkout and managed by Stripe.
Failed Payments
If a payment fails, Zero notifies the Customer by email and retries the charge for up to 14 days. If payment is not received within that period, Zero may suspend access after notice. During the retry period, Zero may, after notice, pause additional credit-consuming operations and withhold new paid credit grants associated with the unpaid amount. Access is restored once payment succeeds and any other grounds for suspension have been resolved. Suspension does not reduce fees lawfully owed for a committed term. If payment remains outstanding 30 days after the first failed attempt, Zero may terminate the subscription. For invoiced Orders, these periods run from the payment due date. Statutory late payment interest may apply.
Plan Changes
Upgrades (more seats or higher credit tier)
Before an upgrade is confirmed, Zero displays the additional charge, the credits to be granted and their expiry. Upgrades take effect after successful payment, unless an Order expressly allows invoicing. The Customer is charged a prorated amount for the remainder of the current billing period, and added seats join the existing billing cycle.
Credits associated with a partial period are prorated on the same basis as the charge unless a different grant is expressly shown before confirmation. First-paid-month bonuses are issued only once for each eligible paid seat and are not reissued merely because a user is replaced or a seat is removed and re-added. The same payment and partial-period rules apply to recurring credit add-on upgrades. Detailed grant and expiry rules are specified in the Credit Policy.
Downgrades (fewer seats or lower credit tier)
Downgrades take effect at the next renewal if requested before that renewal. No proration or refund applies to an ordinary downgrade. Annual seats are committed for the full annual term: removing users or ordinary cancellation mid-term does not create a refund or billing credit. The exceptions under Termination and Data Return, Switching & Deletion below, and mandatory legal rights, remain unaffected.
Changes by Zero
Price increases, allowance reductions, material reductions in paid plan features, and other material adverse changes to subscription or credit conditions take effect no earlier than the next renewal following at least 30 days' email notice. The Customer may cancel or reduce the affected subscription before that renewal. No change applies to usage already incurred, shortens the previously promised validity of an existing credit grant, or overrides an agreed price or allowance commitment for its agreed duration.
Features expressly identified as beta before purchase may change or end in accordance with the beta conditions disclosed before purchase. Zero may also make changes required by law or urgently needed to address a security risk, with as much notice as reasonably possible. If such a change materially reduces the contracted paid Service during a prepaid term and Zero cannot provide a reasonably equivalent alternative, the Customer may terminate the affected Service and receive the proportional refund described under Termination.
Free Trial
The Pro trial lasts 14 days and includes 2,000 credits shared across the trial workspace, not per seat. No payment card is required to start. An eligible referral code extends that same trial to 30 days in total; it does not start a second trial or provide additional credits. Unless Zero agrees otherwise, a Customer may receive one trial and one referral extension. Creating additional accounts or workspaces to evade these limits is prohibited.
Paid seat allowances and the first-paid-month bonus begin only after the first successful subscription payment, unless an Order expressly permits invoicing. Unused trial credits carry into the first paid month, subject to the expiry and consumption rules in the Credit Policy.
At trial expiry, Pro access ends unless the Customer purchases a subscription or Zero separately admits it to the Startup Program. A trial converts automatically to a paid subscription only after the Customer has expressly authorized the charges after being shown the first charge date, price, billing period, discount duration and cancellation conditions. Data-return and statutory switching rights remain available as set out below.
Startup Program
The Startup Program provides free access to a limited version of the Service only after Zero accepts the Customer into the program. Trial expiry does not automatically grant program access. Program features, limits, duration and any withdrawal conditions are stated in the admission offer. Unless Zero has committed to a fixed access period in that offer, Zero may end program access on at least 30 days' email notice, subject to the immediate suspension and termination rights in these terms. Program access does not convert to a paid subscription without the Customer's express authorization.
Term & Renewal
- Subscriptions renew automatically for successive periods of the duration specified in the Order, at the disclosed renewal price or a price validly changed under Changes by Zero.
- The Customer may cancel at any time before renewal. Ordinary cancellation takes effect at the end of the current term, and access continues until then. Fees already paid for that term are not refunded except under Termination or Data Return, Switching & Deletion below, or as required by law.
- Cancel through the in-app billing page or by emailing hello@zero.inc. The displayed renewal date and time determine the cancellation deadline. A cancellation or seat-reduction request is effective when received, even if Zero processes it later. Zero will acknowledge the request.
- Cancelling the core subscription also schedules its recurring credit add-ons to end when the core subscription ends. Add-ons do not renew after that date. Individual add-ons may be cancelled separately before their next renewal under the conditions shown when purchased.
- Statutory termination or switching rights may take effect earlier than ordinary cancellation, as described below.
Termination
Either party may terminate this agreement for the other party's material breach if that breach is not cured within 30 days of written notice. Zero may suspend or terminate for non-payment as described above, suspend under Usage Limits & Suspension, and terminate immediately where required by law. These provisions govern termination for the matters they address despite any broader provision in the Terms of Service.
If the Customer terminates for Zero's uncured material breach, Zero will refund prepaid subscription fees attributable to the period after termination and the amount actually paid for unused purchased credits. The refund accounts for discounts and excludes free or promotional credits. The same treatment applies if Zero permanently discontinues the contracted paid Service during a prepaid term without Customer breach, or where a refund is expressly provided under Changes by Zero. Refunds for an affected part of the Service are proportionate to that part. Ordinary cancellation and seat reductions do not create a refund entitlement.
Unused credits otherwise follow the Credit Policy. Termination does not extinguish accrued payment obligations or rights and does not restrict mandatory legal rights. Customer-data, confidentiality, liability, dispute-resolution and data-return obligations survive to the extent needed to give them effect.
Customer Data & Confidentiality
"Customer Data" means data and content submitted to or generated for the Customer through the Service, excluding Zero's pre-existing technology and third-party materials. As between the parties, the Customer retains its rights in Customer Data. Zero receives a non-exclusive license to process Customer Data only as necessary to provide, secure and support the Service, follow the Customer's documented instructions and comply with applicable law. The DPA governs personal-data processing.
Zero may not publish or use Customer Data in marketing without separate written permission. Zero may use usage statistics to improve the Service only where they do not identify the Customer or any individual, disclose Customer Data or permit re-identification. This section replaces any broader license to Customer Data in the Terms of Service and does not permit generalized AI model training prohibited by those terms or the DPA.
Each party will protect the other's non-public business information with reasonable care, use it only to perform this agreement, and disclose it only to people who need it for that purpose and are bound to protect it. This duty excludes information lawfully known without restriction, independently developed, lawfully received from another source, or publicly available without breach. Legally required disclosure is permitted, with advance notice where lawful and disclosure limited to what is required. These duties survive termination while the information remains confidential.
Data Return, Switching & Deletion
Requests and export
The Customer may request return or deletion of Customer Data, or assistance with switching, through hello@zero.inc. Zero may verify the requester's authority. An expired trial, free access, suspension or lack of a paid export feature does not prevent the Customer from exercising these rights. The DPA governs the return or deletion of personal data at the Customer's choice.
Zero will make exportable data available in a structured, commonly used, machine-readable format, with files in an appropriate usable format. Exportable data includes all Customer inputs and outputs, and metadata generated directly or indirectly by its use of the Service, that applicable law requires to be portable. Categories include CRM records and their fields and relationships; notes, tasks, activities and communications; uploaded files and attachments; Customer-created configurations, instructions, agent context and outputs; and Customer-specific usage metadata.
Excluded categories are Zero's source code, proprietary algorithms and model weights, internal infrastructure and security information, data relating to other customers, and other internal data protected by Zero's or a third party's intellectual property or trade secrets. These exclusions do not permit withholding Customer Data or otherwise delaying or obstructing export that applicable law requires.
Before the Customer accepts the agreement, Zero will provide the applicable export procedures, known technical limitations, available formats and structures, and a reference to its maintained online register of export formats and relevant interoperability specifications. These details are provided with the Order, trial registration or Startup Program offer, as applicable. Zero will make the interfaces and documentation required for statutory switching available without charge.
Switching under the EU Data Act
Where Chapter VI of the EU Data Act applies, the Customer may request a switch to another provider or its own infrastructure, or request erasure on service termination. The Customer identifies its chosen destination or erasure request and cooperates reasonably with the process. The notice period to begin switching or terminate for erasure will not exceed two months. Switching will then be completed without undue delay within a transitional period of no more than 30 calendar days.
If completing the transition within 30 calendar days is technically unfeasible, Zero will notify the Customer within 14 working days of the switching request, explain the reasons and specify an alternative transition of no more than seven months. The Customer may extend the transition once to a period it considers appropriate for its purposes.
During the transition, Zero will provide reasonable assistance to the Customer and its authorized destination provider, maintain the contracted Service with due care for continuity and security, and disclose known risks to the transition. The Customer and any destination provider will cooperate in good faith. Zero is not required to develop a new service or guarantee identical functionality in a different provider's software.
The affected service contract terminates on successful completion of switching. Where the Customer chooses erasure instead, it terminates at the end of the applicable notice period. Zero will confirm termination. These rights are not postponed until an annual renewal.
Retrieval and deletion
The Customer has at least 30 calendar days after ordinary service termination or trial expiry to retrieve its data. For statutory switching, this retrieval period starts after the transitional period ends. A later agreed retrieval date prevails. During this period Zero will maintain the security of retained data and provide an export route even if ordinary workspace access has ended.
After the retrieval period, and after successful switching where applicable, Zero will erase Customer Data and its copies unless applicable law requires retention. The Customer may instruct earlier deletion under the DPA. Any legally retained data remains protected and may be used only for the required retention purpose. Zero will confirm deletion on request.
Charges
Ordinary service charges remain payable while the contracted Service is provided. A switching or data-egress charge is payable only if expressly disclosed in the Order before contracting, permitted by law, and no greater than Zero's directly attributable switching costs. No switching or data-egress charge applies from January 12, 2027.
Switching does not by itself waive a lawful fee commitment. Any charge for the remainder of a fixed term must be expressly disclosed in the Order before contracting, permitted by applicable law, and must not unlawfully obstruct switching. The ordinary cancellation and non-refund provisions do not override mandatory termination, switching or refund rights, or the refunds expressly provided under Termination.

The Customer also acknowledges the Privacy Policy, which describes Zero's relevant processing practices. Acceptance of these terms does not replace any separate consent required by law.
Entire Agreement
These Subscription Terms, together with the Order and the incorporated contractual documents above, represent the entire agreement between the Customer and Zero for the paid or free Service covered by them, subject to any separately agreed written agreement and the order of precedence above.

Credit Policy
This Credit Policy describes how credits work on the Zero Platform. It applies to new subscriptions, trials and Startup Program access for which those terms are accepted on or after the effective date. Existing subscriptions and previously purchased entitlements are not automatically migrated.
The Order and Subscription Terms prevail over this Credit Policy if they conflict.
How Credits Enter a Workspace
- Seat allowance. Each paid Pro seat includes 500 credits per month, pooled across the workspace, unless the Order states otherwise. On monthly plans, an eligible seat receives 1,000 credits instead of 500 for its first paid monthly billing period, subject to the partial-period rules below.
- Recurring credit add-ons. An optional monthly bundle that replenishes automatically.
- Top-up credit packs. A one-time purchase that does not change the recurring allowance.
For a full initial annual term paid upfront, each eligible Pro seat receives 6,000 annual allowance credits plus a one-time 500-credit bonus, totaling 6,500 credits. Both are issued together after successful payment unless the Order permits invoicing. No further monthly seat allowance is issued for that prepaid term. Each subsequent full annual term includes 6,000 credits per seat without another first-paid-period bonus, unless the Order states otherwise. Separately purchased monthly credit add-ons continue to replenish on their own cycle.
Scale and Startup Program allowances are specified in their Order or admission offer. Credits granted by the Startup Program may be used during active program access without a paid subscription.
Paid grants begin after successful payment unless the Order permits invoicing. For a seat added partway through a monthly or annual billing period, the base allowance and any eligible one-time bonus are each prorated by the same fraction of the billing period as the corresponding seat charge, unless a different grant is expressly shown before confirmation. The base grant and bonus are displayed separately before purchase.
The one-time bonus applies to the seat's first paid billing period, even if that period is partial; it is not deferred until a later full calendar month. Receiving a prorated bonus uses that seat's one-time bonus eligibility. The bonus is not repeated when a user is replaced or a seat is removed and re-added.
Credit Prices
The same pack prices apply to monthly recurring add-ons and one-time top-ups. Recurring add-ons are charged each month; top-ups are charged once.

Profile enrichment at import is free up to 200,000 contacts; larger imports require support.
Billable Actions and Variable Rates
An agent action is one execution of an individual operation configured within an agent workflow. Chained operations are separate actions. Where the same operation is executed separately for multiple records or items, each execution is a separate action, even when started as one batch. For example, executing a research action separately for 100 company records counts as 100 actions. An AI field update is one execution for one record and one field. Internal model calls within the same operation are not, by themselves, additional billable actions.
The charge for each AI action or AI field update is 0.1–5 credits. Before execution, Zero discloses the applicable action rate or usage-based calculation, including the measured units, any rounding and the maximum charge per action. Where the final amount depends on processing performed, Zero provides an estimate or maximum before execution. The applicable calculation is not changed retrospectively. The workspace's usage records identify the billable operation, executions and resulting credit charge.
Email and phone lookups are separately priced operations at 1 and 10 credits respectively when successful. Invoking a lookup from an agent does not by itself add an AI-action charge. Separately performed AI work, such as analyzing a lookup result or drafting content from it, may incur its own disclosed action charge. The five-credit maximum for an AI action does not cap a separately priced phone lookup.
Failed, Cancelled and Retried Work
An enrichment lookup is unsuccessful when it returns no requested enrichment result. No credits are charged for an unsuccessful enrichment lookup or for an action that has not started.
Completed billable actions remain chargeable if the remainder of a run fails or is cancelled. An incomplete or cancelled AI action may be charged only for processing already performed under the calculation disclosed before execution, within the applicable per-action maximum. Processing not performed is not charged.
Retries caused solely by a Zero system error do not create an additional charge for the same operation. Processing repeated solely to recover from that error is not charged again. A new execution expressly requested by the Customer is a separate billable action, subject to these same rules.
AI Run Examples
An AI run can contain multiple AI actions. Each action is charged separately, and the run's total is the sum of its billable actions and any separately priced lookups. Chaining actions does not make them a single charge.
These examples illustrate the calculation, not fixed prices for particular tasks:
- One action uses 0.1–5 credits, depending on the disclosed rate.
- Chaining three actions charged at 0.5, 1 and 3 credits uses 4.5 credits.
- A successful phone lookup charged at 10 credits plus a separate AI action charged at 1 credit uses 11 credits. A phone lookup alone uses 10 credits.
The five-credit upper end applies to an individual AI action or AI field update, not the entire run or a separately priced phone lookup.

Each row assumes the entire allowance is spent on that category. These are alternative uses of the same shared allowance, not separate allowances. Agent quantities depend on the rate per action and are not counts of complete runs. Annual customers receive the annual allowance upfront.
Consumption Order
Recurring plan and add-on credits are consumed first, then trial credits, then one-time top-up credits. All credits are shared across the workspace.
Rollover and Expiry
- Plan credits reset every month.
- Top-up credits never expire.
- Plan credits are used first, then top-ups.
- Top-up credits survive cancellation but can only be used with an active subscription.
Trial Credits
The Pro trial includes 2,000 trial credits shared across the workspace, not per seat. Unused trial credits carry into the first paid month alongside the paid allowance. The applicable expiry is disclosed when the trial begins.
Changes
Zero may introduce new credit-consuming features and adjust consumption rates. Changes are governed by the “Changes by Zero” section of the Subscription Terms.
